JewelSphy Web Solutions provides website design, development, configuration, and related digital services. Specific scope, deliverables, pricing, and timelines are defined in a written quote, proposal, or agreement for each project.

You agree not to:

• Use the website or our services for unlawful, harmful, or fraudulent purposes.
• Attempt to gain unauthorized access to systems, accounts, or data.

JewelSphy is not responsible for reviewing whether client-supplied materials infringe third-party intellectual property. You agree to indemnify and hold harmless JewelSphy from claims arising from content or materials you supply, except to the extent caused by our intentional misconduct.

Unless otherwise agreed in writing, upon full payment for a completed project, you receive ownership or license rights to the custom deliverables created specifically for you, excluding JewelSphy’s pre-existing tools, templates, frameworks, and general know-how.

JewelSphy may display non-confidential work in its portfolio, website, or marketing unless a written confidentiality agreement says otherwise.

All site content, branding, and materials created by JewelSphy for its own marketing remain JewelSphy property and may not be copied, modified, or reused without permission.

Projects may involve third-party platforms such as hosting providers, domain registrars, email services, analytics tools, or payment processors. You are responsible for creating and maintaining accounts in your name, paying third-party fees, and complying with their terms unless explicitly included in a written project agreement.

JewelSphy may assist with setup and configuration but does not provide ongoing third-party subscriptions unless separately agreed.

Fees, deposits, milestones, and payment schedules are defined in your quote or agreement. Work outside the agreed scope may require additional fees and timeline adjustments.

Late or missing payments may pause work until accounts are current.

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. JEWELSPHY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted access to the website, error-free operation, specific business results, search rankings, revenue, or uptime of third-party services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JEWELSPHY AND ITS OWNER, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JEWELSPHY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE WEBSITE OR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID JEWELSPHY FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You agree to defend, indemnify, and hold harmless JewelSphy from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your breach of these Terms, your violation of law, or your infringement of third-party rights.

We may suspend or terminate access to the website or services if you violate these Terms or if continued work is not commercially reasonable. Provisions that by nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. Exclusive venue for disputes arising from these Terms or the website will be in courts located in Florida, United States, unless applicable law requires otherwise.
